End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you and Lucky Moi governing your use of the Lucky Moi mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by the terms of this EULA.

1. License Grant

1.1 Limited License

Subject to your compliance with this EULA, Lucky Moi grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on iOS devices that you own or control
• Access and use the App for your personal, non-commercial use
• Receive updates and upgrades to the App as we make them available

1.2 License Restrictions

This license does NOT allow you to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
• Rent, lease, lend, sell, sublicense, or transfer the App to any third party
• Use the App in any manner that violates applicable laws or regulations
• Use the App for any commercial purpose without our prior written consent

2. Ownership

2.1 Intellectual Property Rights

Lucky Moi and its licensors own all rights, title, and interest in and to the App, including all intellectual property rights. This EULA does not grant you any ownership rights; you are merely granted a license to use the App.

2.2 Trademarks

The Lucky Moi name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lucky Moi. You may not use these marks without our prior written permission.

3. Privacy and Data Collection

3.1 Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into this EULA by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

3.2 Data Collection Consent

By using the App, you consent to:

• The collection and use of your data as described in our Privacy Policy
• The processing of your data by third-party service providers (Firebase, Anthropic, Apple)
• The sharing of certain data with your connected partner as you authorize

4. Subscription Terms

4.1 In-App Purchases

Lucky Moi offers in-app purchases through Apple's App Store. By making a purchase, you agree to:

• Pay the applicable subscription fees
• Automatic renewal of your subscription unless you cancel
• Apple's In-App Purchase terms and policies

4.2 Subscription Management

Subscriptions are managed through your Apple ID account. To cancel or modify your subscription, you must do so through your Apple ID settings, not through the App.

4.3 Free Trial

If you receive a free trial:

• The trial lasts 16 days from the date you sign up
• You will be charged when the trial ends unless you cancel before then
• You may only use the free trial once per Apple ID

5. User Content and Conduct

5.1 Your Content

You are solely responsible for all content you create, upload, or share through the App ("User Content"), including:

• Profile information and onboarding responses
• Weekly check-in answers
• Messages sent to your partner
• Any other information you provide

5.2 Content License

By submitting User Content, you grant Lucky Moi a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely for the purpose of providing and improving the Service.

5.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content does not violate any applicable laws
• Your User Content is accurate and not misleading

5.4 Prohibited Content

You agree not to submit User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful
• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
• Contains viruses, malware, or other harmful code
• Impersonates any person or entity
• Contains unsolicited advertising or promotional material

6. Updates and Modifications

6.1 App Updates

We may release updates, upgrades, or new versions of the App from time to time. These updates may:

• Add new features or functionality
• Fix bugs or improve performance
• Modify or remove existing features
• Require you to update to continue using the App

6.2 Automatic Updates

If you have enabled automatic updates on your device, the App will update automatically when new versions are released.

6.3 No Obligation to Update

We are not obligated to provide any updates, upgrades, or support for the App. However, we may cease supporting older versions and require you to update to continue using the App.

7. Third-Party Services and Links

7.1 Third-Party Services

The App integrates with third-party services, including:

• Apple Services: Sign in with Apple, In-App Purchases, Push Notifications
• Firebase (Google): Authentication, database, cloud messaging
• Anthropic API: AI-powered question and challenge generation

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for any third-party services.

7.2 Third-Party Links

The App may contain links to third-party websites or resources (e.g., in gift suggestions or date ideas). We do not endorse and are not responsible for any third-party content, products, or services.

8. Disclaimer of Warranties

8.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LUCKY MOI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or quality of any content, information, or services provided through the App
• Warranties that defects will be corrected

8.2 AI-Generated Content Disclaimer

AI-generated content (questions, challenges, gift suggestions, date ideas) is provided for entertainment purposes only. We make no warranties about:

• The accuracy, appropriateness, or suitability of AI-generated content
• The outcomes resulting from following AI suggestions
• The improvement of your relationship through use of the App

8.3 Not Professional Advice

THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL COUNSELING, THERAPY, OR MEDICAL ADVICE. If you are experiencing relationship difficulties, mental health issues, or any other serious concerns, please consult a qualified professional.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUCKY MOI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of the App
• Any bugs, viruses, or other harmful code transmitted through the App
• Any errors or omissions in any content
• Your reliance on AI-generated content or suggestions
• Any relationship outcomes or interpersonal issues arising from use of the App

9.2 Cap on Liability

IN NO EVENT SHALL LUCKY MOI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO LUCKY MOI IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9.3 Essential Basis

You acknowledge that Lucky Moi has offered the App and entered into this EULA in reliance upon the disclaimers and limitations of liability set forth herein, and that the same form an essential basis of the bargain between the parties.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lucky Moi and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of this EULA or any applicable law
• Your User Content
• Your violation of any rights of another person or entity

11. Termination

11.1 Termination by You

You may terminate this EULA at any time by:

• Deleting the App from your device
• Deleting your account through the App settings
• Canceling your subscription through your Apple ID account

11.2 Termination by Us

We may terminate or suspend your license to use the App at any time, with or without notice, for any reason, including:

• Breach of this EULA
• Fraudulent or illegal activity
• Abuse of the App or other users
• Non-payment of subscription fees

11.3 Effect of Termination

Upon termination:

• Your license to use the App immediately ends
• You must cease all use of the App and delete it from your devices
• Sections of this EULA that by their nature should survive termination shall survive, including disclaimers, limitations of liability, and indemnification

12. Export Control

The App may be subject to export laws and regulations. You agree not to export or re-export the App in violation of any applicable laws or regulations, including U.S. export control laws.

13. Government Users

If you are a U.S. government entity, the App is a "commercial item" as that term is defined at 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. government users acquire the App with only those rights set forth herein.

14. Apple-Specific Terms

14.1 Acknowledgment

You acknowledge that:

• This EULA is between you and Lucky Moi only, not with Apple
• Lucky Moi, not Apple, is solely responsible for the App and its content
• Apple has no obligation to provide maintenance or support for the App

14.2 Scope of License

The license granted to you is limited to a non-transferable license to use the App on any Apple-branded device that you own or control and as permitted by the Usage Rules in the App Store Terms of Service.

14.3 Warranty

Lucky Moi is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

14.4 Product Claims

Lucky Moi, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession or use of the App, including:

• Product liability claims
• Claims that the App fails to conform to any applicable legal or regulatory requirement
• Claims arising under consumer protection or similar legislation

14.5 Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Lucky Moi, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

14.6 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

15. General Provisions

15.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, excluding its conflicts of law rules.

15.2 Dispute Resolution

Any dispute arising from this EULA or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may assert claims in small claims court if they qualify.

15.3 Entire Agreement

This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Lucky Moi regarding the App.

15.4 Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.5 Waiver

No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term.

15.6 Assignment

You may not assign or transfer this EULA or your rights hereunder without our prior written consent. We may assign this EULA without restriction.

15.7 Changes to This EULA

We reserve the right to modify this EULA at any time. We will notify you of material changes through the App or by email. Your continued use of the App after such notice constitutes acceptance of the modified EULA.
